Board of Directors

The Cooperative’s Board represents Member-Owners in safeguarding their assets in the Cooperative. The Board consists of nine members, who are also Member-Owners of the Cooperative and represent each of the Cooperative’s directorate districts.

Their responsibilities include determining objectives and setting policies, adopting long-range plans, and employing the President and Chief Executive Officer, who oversees the Cooperative’s daily operations. It is the responsibility of the Board to adopt and amend the bylaws.

Director Education and Development

Roanoke Cooperative is committed to maintaining a knowledgeable and effective Board of Directors. As part of that commitment, directors are expected to participate in NRECA’s Board Education Program and achieve the Director Gold credential within their first six years of Board service. This continuing education helps directors strengthen their knowledge of cooperative governance, financial oversight, strategic planning, industry issues, and other areas essential to effective Board leadership.

The Board meets on the 4th Monday of each month to help set guidelines for management decisions. It is the responsibility of Cooperative Member-Owners to select, elect, and evaluate the Board of Directors by participating and voting in Cooperative events, including the annual meeting.
